Terms of Service

Effective date: April 15, 2026

Please read these Terms of Service carefully before engaging Optum Audio for any services. By requesting, purchasing, or using any service provided by Optum Audio, you agree to be bound by these terms.

1. Services

Optum Audio provides professional audio systems design, integration, and support services for live music performance, including but not limited to rig design, control and automation programming, network infrastructure, playback system configuration, audio and tone design, and custom software development.

The specific scope, deliverables, timeline, and pricing for each engagement will be defined in a separate written proposal or statement of work agreed upon by both parties prior to commencement of work.

2. Acceptance of Terms

By signing a proposal, submitting a deposit, or otherwise authorizing work to begin, you acknowledge that you have read, understood, and agree to these Terms of Service in their entirety. If you do not agree, you should not engage Optum Audio for services.

3. Payment Terms

Payment terms are outlined in each individual proposal or statement of work. Unless otherwise agreed in writing, a deposit of 50% of the total project fee is due before work begins, with the remaining balance due upon project completion.

Invoices not paid within 30 days of the due date are subject to a late fee of 1.5% per month on the outstanding balance. Optum Audio reserves the right to pause work on any project with an outstanding overdue balance.

4. Client Responsibilities

The client is responsible for providing accurate information about their equipment, venue, and performance requirements. Optum Audio cannot be held responsible for issues arising from incomplete or incorrect information provided by the client.

The client is responsible for ensuring that any equipment, software licenses, and access required to perform the agreed services are made available to Optum Audio in a timely manner.

5. Intellectual Property

Upon receipt of full payment, the client owns all custom deliverables — including system designs, documentation, and custom software — created specifically for their engagement.

Optum Audio retains ownership of any pre-existing tools, software, frameworks, methodologies, and general-purpose code used in the delivery of services. Nothing in these terms grants the client a license to Optum Audio's proprietary tools and software beyond their use in the delivered system.

6. Confidentiality

Each party agrees to keep confidential any proprietary or sensitive information disclosed by the other party during the engagement. This obligation survives the termination of the service relationship and remains in effect for a period of three (3) years.

7. Warranties and Disclaimers

Optum Audio warrants that all services will be performed in a professional and workmanlike manner consistent with industry standards.

Optum Audio does not warrant that any system or solution will be completely free of errors or will operate without interruption. Third-party hardware and software are subject to their own manufacturers' warranties and are outside the scope of Optum Audio's warranty obligations.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Optum Audio's total liability for any claim arising out of or relating to these terms or the services provided shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim. In no event shall Optum Audio be liable for indirect, incidental, consequential, or punitive damages.

9. Termination

Either party may terminate an engagement with 14 days written notice. In the event of termination by the client, the client is responsible for payment of all work completed through the date of termination, plus any non-recoverable costs already incurred.

Optum Audio reserves the right to terminate any engagement immediately if the client breaches these terms or engages in conduct that is harmful, abusive, or otherwise untenable.

10. Governing Law

These Terms of Service and any separate agreements under which we provide services shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law provisions.

Any disputes, claims, or controversies arising out of or relating to these Terms, our services, or your use of this website shall be subject to the exclusive jurisdiction of the state and federal courts located in Montgomery County, and you consent to the personal jurisdiction and venue of such courts.

By using this website or engaging our services, you waive any objection to such jurisdiction or venue, including any claim that such forum is inconvenient or improper.

11. Changes to These Terms

Optum Audio reserves the right to update these Terms of Service at any time. Updated terms will be posted on this page with a revised effective date. Continued use of our services after such changes constitutes acceptance of the updated terms.
